A binding obligation arises only under a written agreement executed by an authorized representative of SHYAM.

SHYAM products are supplied only to Government departments, defence and paramilitary forces, law enforcement agencies, correctional administrations, and other entities authorized under applicable law. They are not offered for sale to private individuals, and they are not offered for private, unauthorized or unlawful monitoring of any person.
Certain products, components, technologies and technical information may be subject to export control, licensing, authorization and end-use restrictions under the laws of India – including the Foreign Trade (Development and Regulation) Act, 1992 and the SCOMET provisions of the Foreign Trade Policy – and under the laws of other jurisdictions.

Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be limited or excluded under applicable law.

25. Governing Law and Jurisdiction
These Terms & Conditions and any dispute or claim arising out of or in connection with them, or with your use of the Website, shall be governed by and construed in accordance with the laws of India.
Subject to Clause 26, the courts at Delhi/ New Delhi, India shall have exclusive jurisdiction.
26. Dispute Resolution
The parties shall first attempt to resolve any dispute amicably through discussion. Where a dispute is not resolved within thirty (30) days of written notice, it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by SHYAM in consultation with the other party. The seat and venue of arbitration shall be Delhi/ New Delhi, India and the language of arbitration shall be English. The award shall be final and binding.
27. General
27.1 Severability
If any provision of these Terms is held to be invalid, illegal or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.
27.2 No Waiver
Failure or delay by SHYAM in enforcing any provision of these Terms shall not constitute a waiver of that provision or of any other right or remedy.
27.3 Assignment
You may not assign or transfer any right or obligation under these Terms. SHYAM may assign or transfer its rights and obligations to an affiliate or successor entity.
27.4 Entire Agreement
These Terms, together with the Privacy Policy and any other policy expressly incorporated by reference, constitute the entire terms governing your use of the Website. Where you have a separate written agreement with SHYAM, that agreement prevails over these Terms in the event of conflict in respect of its subject matter.
27.5 Language
These Terms are published in English. Where a translation is provided for convenience, the English version prevails in the event of any inconsistency.
28. Changes to These Terms
SHYAM may update, remove, modify or replace these Terms, the Website, its Content, product information, features or services at any time without prior notice. Revised Terms take effect on publication, with an updated Last Updated date and revision number. Your continued use of the Website constitutes acceptance of the revised Terms.
